Terms of use

These Terms of Use ("Terms") govern access to and use of the Onset Clinic Portal website and related services (collectively, the "Portal") operated by Last 1 Enterprises LLC ("Onset," "we," "us," or "our"). By creating a clinic account or using the Portal, you agree to these Terms, our Privacy Policy, and the Clinic Portal Agreement.

Important: Onset Clinic Portal is a general wellness organization tool, not medical care. These Terms include an arbitration agreement and class action waiver in the dispute section below.

Wellness organization tool

The Portal is a general wellness organization and information tool for clinics. It helps organize supplement routines, fitness templates, and patient-shared wellness data. It does not provide medical advice, diagnoses, treatment recommendations, or clinical decision support.

The Portal is not a software as a medical device (SaMD) and is not FDA-cleared or FDA-approved. You remain solely responsible for clinical judgment, patient care, and compliance with applicable laws.

Eligibility

You must be at least 18 years old and authorized to act on behalf of your clinic or practice.
You represent that information you provide is accurate and that you have authority to bind your organization to these Terms.
You will use the Portal only for lawful clinic organization purposes.

Accounts and access

Clinic accounts are scoped to a clinic organization with practitioner roles and team permissions.
You are responsible for safeguarding login credentials and for activity under your account.
We may suspend or terminate access if we reasonably believe these Terms were violated or misuse created legal or security risk.

Recordkeeping and patient consent

Your clinic remains solely responsible for medical records, legal record retention, informed consent, and regulatory compliance.
Patient data visible in the Portal is shared at the patient's direction through the Onset app connection and consent settings.
Export clinic-held records before account closure if you need copies for your own recordkeeping systems.

Subscriptions and billing

Clinic Free includes limited patient capacity and core organization features. Clinic Pro adds expanded capacity and additional Portal features billed through Stripe.

Clinic Pro may include a 14-day trial. A valid payment method may be required at checkout.
Subscriptions renew according to the plan you select (monthly or annual) unless canceled through the billing portal in Settings.
Prices, taxes, and trial terms are shown at checkout and may change with notice as permitted by law.
Except where required by law, fees are non-refundable for partial billing periods.

Acceptable use

Do not use the Portal to store or transmit unlawful content or to violate patient rights.
Do not attempt to bypass security controls, scrape the service, or access data outside your clinic scope.
Do not misrepresent the Portal as a regulated medical record system or diagnostic product.
Do not upload malware or interfere with Portal availability.

Intellectual property

The Portal software, design, and branding are owned by or licensed to Onset and protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive license to use the Portal for your clinic's internal organization workflows.

Third-party services

The Portal relies on third-party providers such as Supabase and Stripe. Your use may also involve the separate Onset iOS app for patients. Third-party terms and privacy policies apply to those services.

Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONSET AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE PORTAL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PORTAL WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO ONSET FOR THE PORTAL IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD $100.

Indemnification

You agree to defend, indemnify, and hold harmless Onset and its affiliates from claims arising from your use of the Portal, your violation of these Terms, or your violation of law or third-party rights.

Dispute resolution

Informal resolution first: contact [email protected] and allow at least 30 days to resolve before filing a claim.
Except for small claims court matters, disputes will be resolved by binding individual arbitration where permitted by law.
You and Onset agree not to bring claims as a class, collective, or representative action.

Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where local law requires otherwise.

Changes

We may update these Terms from time to time. Material changes may require re-acceptance of the Clinic Portal Agreement. Continued use after the effective date of updated Terms means you accept the revision.
